6. Payment Terms

6.1 Pricing and Taxes

All prices displayed on the Website are in United States Dollars (USD) and are subject to change without notice. Prices do not include applicable sales taxes, delivery fees, or service charges unless expressly stated. You are responsible for all applicable federal, state, and local taxes associated with your purchase. The applicable tax rates will be calculated and displayed at checkout prior to order confirmation.

6.2 Payment Methods

We accept major credit cards (Visa, MasterCard, American Express, Discover), debit cards, and other payment methods as indicated at checkout. By providing payment information, you represent and warrant that: (a) you are authorized to use the designated payment method; (b) the payment information you provide is true and accurate; and (c) you authorize us to charge your payment method for the total amount of your order, including applicable taxes and fees.

6.3 Order Confirmation and Cancellations

Upon placing an order, you will receive an order confirmation via email. This confirmation does not constitute acceptance of your order; rather, it confirms that we have received your request. We reserve the right to accept or decline any order at our discretion. If we are unable to fulfill your order, we will notify you and process a full refund to your original payment method within a reasonable timeframe.

Due to the perishable nature of food products, cancellations may only be accepted within a limited window after order placement, as indicated during the ordering process. We are not obligated to accept cancellations once food preparation has commenced.

6.4 Refunds and Disputes

If you are dissatisfied with your order due to a quality issue, incorrect items, or missing items, please contact us at [email protected] within twenty-four (24) hours of receiving your order. We will review your complaint and, at our discretion, offer a replacement, store credit, or refund. Refunds, where applicable, will be processed to your original payment method and may take five (5) to ten (10) business days to appear on your statement.

If you believe an unauthorized charge has been made to your account, you must contact us immediately. We comply with applicable card network dispute resolution procedures and the requirements of the Federal Trade Commission (FTC) Act regarding consumer protection and fair dealing.

7. Disclaimers — "As-Is" Basis

THE WEBSITE AND ALL CONTENT, SERVICES, AND PRODUCTS AVAILABLE THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIZZA LUCE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT ON THE WEBSITE, INCLUDING MENU DESCRIPTIONS, PRICING, NUTRITIONAL INFORMATION, OR ALLERGEN DATA;
  • WARRANTIES THAT ANY DEFECTS WILL BE CORRECTED.

Nutritional information, allergen disclosures, and ingredient descriptions provided on the Website are for general informational purposes only and may not be completely accurate due to variations in portion sizes, ingredient sourcing, and preparation methods. Customers with food allergies or dietary restrictions are advised to contact us directly before placing an order. Pizza Luce does not guarantee that any item is free from allergens.

Some jurisdictions do not allow the disclaimer of implied warranties, so the above disclaimer may not apply to you in its entirety. In such cases, our warranties are limited to the maximum extent permitted by applicable law.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES LAW, IN NO EVENT SHALL PIZZA LUCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

  • Your use of or inability to use the Website or our services;
  • Any unauthorized access to or use of our servers or any personal information stored therein;
  • Any interruption or cessation of transmission to or from the Website;
  • Any bugs, viruses, or other harmful code transmitted through the Website by any third party;
  • Any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the Website;
  • Any food-related illness or adverse reaction resulting from the consumption of products ordered through our Website, to the extent permitted by applicable law.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PIZZA LUCE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

The limitations of liability set forth above are fundamental elements of the basis of the bargain between Pizza Luce and you. Some jurisdictions do not allow certain limitations on liability, so some of the above may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless Pizza Luce, its officers, directors, employees, agents, licensors, service providers, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Service;
  • Your use of the Website or services in any manner not expressly authorized by these Terms;

  • Any content you submit, post, or transmit through the Website;
  • Your fraudulent, negligent, or willful misconduct;
  • Any misrepresentation made by you.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. This indemnification obligation will survive the termination of these Terms and your use of the Website.

10. Third-Party Links and Services

The Website may contain links to third-party websites, applications, or services that are not owned or controlled by Pizza Luce. These links are provided for your convenience only. We have no control over, and assume no responsibility for, the content, privacy policies, terms of service, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities or their websites.

You acknowledge and agree that Pizza Luce shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any such third-party websites or services. We strongly encourage you to read the terms and conditions and privacy policies of any third-party websites you visit.

11. Privacy Policy

Your use of the Website is also governed by our Privacy Policy, which is incorporated into these Terms of Service by reference. Our Privacy Policy describes how we collect, use, disclose, and protect information about you when you use our Website and services. By using the Website, you consent to the data practices described in our Privacy Policy.

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), including the right to know, the right to delete, the right to opt-out of the sale of personal information, and the right to non-discrimination for exercising these rights. Please refer to our Privacy Policy for more information.

12. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which Pizza Luce is registered and primarily operates, without regard to any conflict of law principles that would require the application of the laws of another jurisdiction.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Website shall be instituted exclusively in the federal or state courts located within the applicable jurisdiction of Pizza Luce's principal place of business. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

By using our Website, you acknowledge that these Terms constitute a legally binding contract under applicable United States federal law, including but not limited to the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), and applicable state contract law. To the extent applicable, we also comply with the requirements of the Federal Trade Commission (FTC) Act concerning unfair or deceptive acts or practices in commerce.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Website informally by contacting Pizza Luce at [email protected]. We will attempt to resolve the dispute informally by contacting you via the email address associated with your account. If a dispute is not resolved within thirty (30) days of submission of the informal dispute notice, either party may proceed to formal dispute resolution as described below.

13.2 Binding Arbitration

EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES, CONTROVERSIES, OR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS AGREEMENT TO ARBITRATE, SHALL BE DETERMINED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES, BEFORE A SINGLE ARBITRATOR.

The arbitration shall be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The costs of arbitration, including AAA administrative fees and the arbitrator's fees, shall be governed by the AAA's Consumer Arbitration Rules.

13.3 Class Action Waiver

YOU AND PIZZA LUCE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Pizza Luce agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

13.4 Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in a small claims court of competent jurisdiction for disputes within the applicable jurisdictional limits, provided the action remains in that court and is not removed or appealed to a court of general jurisdiction.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Website or maintain an account with Pizza Luce. We reserve the right to terminate or suspend your access to the Website, without notice and without liability, for any reason whatsoever, including but not limited to:

  • Your breach of any provision of these Terms;
  • Your engagement in any conduct we deem harmful, fraudulent, or otherwise objectionable;
  • Your violation of applicable laws or regulations;
  • A request by law enforcement or government authorities;
  • Extended periods of inactivity on your account;
  • Our business decision to discontinue the Website or any of our services.

Upon termination, your right to use the Website will immediately cease. You may also request the deletion of your account at any time by contacting us at [email protected]. Upon account deletion, we will handle your personal data in accordance with our Privacy Policy and applicable law.

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to provisions regarding ownership, warranty disclaimers, indemnification, and limitations of liability.

15. Changes to These Terms

We reserve the right to modify, revise, or update these Terms of Service at any time at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. In the event of material changes, we may also notify you by sending an email to the address associated with your account or by posting a prominent notice on the Website prior to the change becoming effective.

Your continued use of the Website or our services after the effective date of any such changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Website and, if applicable, close your account. We encourage you to review these Terms periodically to stay informed about your rights and obligations.

16. Severability

If any provision of these Terms of Service is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable under any applicable law or regulation, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, and the validity, legality, and enforceability of the remaining provisions of these Terms shall not in any way be affected or impaired thereby.

If such modification is not possible, the relevant provision shall be deemed deleted without affecting the remaining provisions of these Terms, which shall continue in full force and effect. The parties agree to replace any invalid provision with a valid provision that most closely approximates the intent and economic effect of the invalid provision.

17. Entire Agreement and Waiver

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by us on the Website, constitute the entire agreement between you and Pizza Luce with respect to your use of the Website and our services, and supersede all prior and contemporaneous agreements, representations, warranties, and understandings with respect to the Website, the content and services provided by or through the Website, and the subject matter of these Terms.

No waiver by Pizza Luce of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Pizza Luce to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver of any right or provision will only be effective if it is in writing and signed by an authorized representative of Pizza Luce.

18. Force Majeure

Pizza Luce shall not be liable for any failure or delay in performance of its obligations under these Terms that results from any cause beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic or epidemic, government restrictions or mandates, labor disputes, civil disturbances, terrorism, supply chain disruptions, third-party service failures, or internet or telecommunications disruptions. In such events, Pizza Luce's obligations will be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume normal operations as quickly as possible.

19. Accessibility

Pizza Luce is committed to ensuring that our Website is accessible to individuals with disabilities. We strive to comply with applicable accessibility standards, including the Web Content Accessibility Guidelines (WCAG).
